Terms and conditions

These Terms & Conditions constitute a contractual agreement between On-Site Headshots ("Photographer") and the individual or organization booking services ("Client"). By booking photography services, Client agrees to the following terms.

1. Booking Fee & Payment

A signed agreement and required payment are necessary to reserve a date.

For individual or small on-location sessions, a non-refundable session fee may be required.

For corporate events, conferences, group headshots, and large-scale on-site services, a non-refundable retainer equal to 50% of the estimated total project amount may be required to secure the date.

No date or service is reserved until the required payment is received.

Any retainer paid shall be applied toward the total contracted amount.

Final payment is due according to the terms outlined on the invoice or proposal.

2. Services Included

Services may include:

  • On-location photography services
  • Professional lighting and photography equipment
  • Expression coaching and posing guidance
  • Image review and selection process (when applicable)
  • Basic image processing and retouching as specified in the proposal
  • Digital image delivery

Specific deliverables, turnaround times, image quantities, and retouching details will be outlined in the proposal or invoice.

Unless specifically stated otherwise:

  • Image purchases and upgrades may be separate from photography fees
  • RAW or unretouched files will not be delivered

3. Client Responsibilities

Client is responsible for:

  • Providing accurate event details and schedules
  • Obtaining any necessary venue permissions or approvals
  • Ensuring Photographer has reasonable access to the location
  • Providing adequate space and electrical access if required
  • Informing attendees of photography services when applicable

Any venue fees, parking fees, permits, travel expenses, or additional location-related costs not specifically included in the proposal remain the responsibility of Client.

4. Delays and Schedule Changes

Client understands that delays during an event may impact photography coverage and deliverables.

Photographer is not responsible for reduced coverage resulting from:

  • Late starts
  • Schedule changes
  • Delayed attendee participation
  • Venue restrictions
  • Client-related delays

If significant delays occur, additional coverage time may be billed at Photographer's current rate.

5. Rescheduling & Cancellation

Client may request rescheduling subject to Photographer availability.

If Client cancels services:

  • Payments already made are non-refundable
  • Rescheduling requests may be accommodated at Photographer's discretion
  • Additional fees may apply depending on timing and circumstances

Photographer reserves the right to reschedule services due to:

  • Illness
  • Severe weather
  • Equipment failure
  • Travel interruptions
  • Circumstances beyond Photographer's reasonable control

6. Re-Shoots

Re-shoots are provided solely at Photographer's discretion.

Re-shoots will not be granted due to:

  • Clothing selection
  • Hair or makeup choices
  • Individual appearance preferences
  • Missed expressions
  • Failure to follow Photographer guidance
  • Venue conditions or weather conditions outside Photographer control

7. Failure to Perform

If Photographer is unable to perform services because of fire, natural disaster, illness, emergency, acts of God, government restrictions, travel disruptions, or other circumstances beyond Photographer's control, both parties will make reasonable efforts to reschedule.

If rescheduling is not possible, Photographer's liability shall be limited to amounts paid by Client.

Photographer shall not be liable for indirect, consequential, incidental, or special damages.

8. Image Delivery & Turnaround

Estimated delivery times are provided as estimates only.

Delivery timing may vary based on:

  • Event size
  • Image quantity
  • Retouching requirements
  • Seasonal workload

Photographer will make reasonable efforts to meet estimated delivery timelines.

9. File Storage & Archive Policy

Final delivered images may be retained for approximately 90 days after delivery, although longer storage is not guaranteed.

Photographer is not responsible for maintaining permanent archives.

Clients are strongly encouraged to immediately download and back up delivered files.

RAW and unretouched images will not be delivered.

10. Payments & Late Payments

Payments are due according to invoice terms.

Photographer reserves the right to:

  • Suspend services
  • Delay image delivery
  • Cancel services

for unpaid balances.

11. Promotional Use / Model Release

Unless otherwise agreed in writing, Client grants Photographer permission to use images created during services for:

  • Website portfolios
  • Marketing materials
  • Social media
  • Advertising
  • Promotional displays
  • Printed materials

For corporate events where confidentiality restrictions apply, Photographer agrees to honor any written restrictions agreed upon before the event.

12. Copyright & Image Usage

Photographer retains all copyrights to images created during services.

Client receives a non-transferable license to use delivered images for personal or business purposes as specified by the project agreement.

Without written permission, Client may not:

  • Sell images
  • Transfer image rights
  • Alter images beyond standard cropping or resizing
  • Remove watermarks
  • Claim authorship

13. Limitation of Liability

Photographer's total liability under this agreement shall not exceed the total amount paid by Client.

Photographer shall not be liable for:

  • Equipment failures
  • Venue limitations
  • Missed attendee participation
  • Technical failures outside reasonable control
  • Acts of third-party vendors

14. Indemnification

Client agrees to indemnify and hold harmless On-Site Headshots and its representatives from claims, damages, liabilities, costs, and expenses arising from Client actions, attendees, venue conditions, or event-related activities.

15. Governing Law

This Agreement shall be governed by and interpreted according to the laws of the State of Florida.

16. Entire Agreement

This Agreement represents the entire understanding between Photographer and Client and supersedes prior discussions or agreements.

Any modifications must be made in writing and agreed to by both parties.
